Terms & Conditions — Retouching Services

1. Definitions

"Freelance Retoucher" / "I" / "me" refers to Diego Angarita, trading as Freelance Retoucher

(freelanceretoucher.com).

"Client" refers to the individual or company commissioning retouching services.

"Project" refers to the agreed scope of retouching work as outlined in the quote or brief.

"Source Files" refers to the original image files supplied by the Client for retouching.

"Deliverables" refers to the retouched image files produced and delivered to the Client.

2. Scope of Work

2.1 The scope of retouching services is defined in the written quote or brief agreed between both parties.

Any work outside this scope — including additional images, additional versions, or significant changes

to the original brief — will be treated as a new or amended scope and quoted separately.

2.2 Changes to the brief made after work has commenced may result in additional charges, billed at my

standard hourly rate.

2.3 All orders and briefings must be confirmed in writing (email is sufficient). I will not be held

responsible for errors arising from verbal instructions or verbal changes to a brief.

2.4 I reserve the right to decline projects that conflict with my professional standards or values.

2.5 All retouching work is carried out personally by me. I do not subcontract to third parties without the Client's prior

written consent.

2.6 I may use a combination of traditional and AI-assisted tools as part of my retouching process. If the Client has

any restrictions on the tools or software used, this must be communicated in writing before work commences.

3. Quotations & Estimates

3.1 All quotes are based on the information available at the time of quoting. Additional work, changes in

scope, increased complexity, or additional revision rounds not specified in the original brief will be

costed and agreed separately.

3.2 All quotations are valid for 20 days from the date of issue. After this period a revised quote may be

required.

3.3 Quoted fees are based on the brief as provided. If the scope changes after acceptance, a revised quote

will be issued before additional work proceeds.

4. Source Files & Client Responsibilities

4.1 The Client is responsible for supplying the correct, final, high-resolution source files prior to

commencement of work. Accepted formats are RAW, TIFF, PSD, or high-quality JPEG unless otherwise

agreed.

4.2 If incorrect or substandard files are supplied and work has already begun, any rework required as a

result will be charged at my standard hourly rate.

4.3 Retouching can only enhance what exists in the original image. Issues arising from poor focus,

camera shake, incorrect exposure, or other technical problems with the source material are outside the

scope of standard retouching and will be flagged and quoted separately if requested.

4.4 The Client is responsible for all file transfer costs and for ensuring files are delivered via an agreed

method (e.g. WeTransfer, Dropbox, Google Drive) in a timely manner.

4.5 The Client warrants that they have the right to supply the source files and that their use for

retouching does not infringe any third party rights.


5. Fees & Payment

5.1 All fees are quoted in GBP (£). I am not currently VAT registered; no VAT will be added to invoices

unless my registration status changes, in which case the Client will be notified.

5.2 For new clients, a 50% deposit is required before work commences, regardless of project value. The

remaining balance is due upon delivery of final files. Established clients with a good payment history

may be invoiced on delivery at my discretion.

5.3 Payment is due within 14 days of invoice date unless otherwise agreed in writing. Late payments

beyond 30 days will incur interest at 8% per annum above the Bank of England base rate, plus a 5%

administration charge on the outstanding balance.

5.4 Expenses incurred during the project (e.g. stock images, third-party assets, specialist software) will

be passed on to the Client at cost and itemised on the invoice.

5.5 Final files will be released upon receipt of full payment.

6. Rush Fees

6.1 Rush fees apply to any job required in under one week from the agreed start date, unless otherwise

agreed in writing.

6.2 Any work requested outside normal working hours (Monday to Friday, 9am–6pm) will be charged

as rush if agreed in advance.

6.3 Rush fee rates are as follows: Standard Rush (under one week): +50% on top of the agreed rate.

Double Rush (same day or next day): +100% on top of the agreed rate.

7. Revisions

7.1 Each project includes up to two rounds of revisions within the agreed scope. A revision is defined as

reasonable feedback and adjustments to the work already completed.

7.2 Revisions that constitute a change of brief, a new creative direction, or that require significant

rework will be treated as additional scope and charged accordingly.

7.3 Additional revision rounds beyond those included will be charged at my standard hourly rate.

8. Approval & Sign-Off

8.1 On larger projects involving multiple images or batches, written approval (email is sufficient) is

required at each agreed stage before work proceeds to the next batch.

8.2 Once final files have been delivered and approved, any further changes will be treated as a new

scope and quoted separately.

8.3 If no feedback is received within 14 days of delivery, the work will be considered approved.

9. Turnaround & Deadlines

9.1 Estimated turnaround times are provided in good faith and are dependent on receiving all source

files, a clear brief, and timely feedback from the Client.

9.2 Delays caused by late delivery of source files, late or withheld feedback, or scope changes may

affect the agreed delivery date. I reserve the right to revise the delivery date accordingly and will

communicate any impact as soon as possible.

9.3 If feedback is delayed beyond 5 working days without prior notice, I reserve the right to reschedule

the project around other commitments.

10. Cancellation & Kill Fee

10.1 All cancellations must be made in writing. The following cancellation fees apply:

More than one week's notice before start date: 25% of the total quoted fee.

Less than 24 hours before the agreed start date: 50% of the total quoted fee.

After work has commenced up to first delivery: 75%–100% of the total quoted fee, depending on

work completed.

10.2 If a project is cancelled after the deposit has been paid but before work has commenced, the deposit

is non-refundable.

10.3 If I need to withdraw from a project due to unforeseen circumstances, any deposit paid for work not

yet started will be refunded in full.

11. File Delivery & Archiving

11.1 Deliverables will be provided in the format agreed in the brief (typically high-resolution TIFF or

JPEG in sRGB or Adobe RGB colour space). Any specific format requirements must be communicated

prior to commencement.

11.2 Files will be delivered via an agreed file transfer method. I do not retain source or working files

beyond 30 days after project completion. The Client is responsible for maintaining their own backup of

all delivered files.

11.3 I accept no responsibility for loss of files after delivery. It is the Client's responsibility to ensure

copies are retained.

12. Intellectual Property

12.1 As a retouching service provider, I do not claim any intellectual property rights over the source

images or the retouched deliverables. Copyright of the final images remains with the Client or the

original photographer as appropriate.

12.2 I retain the right to use retouched images in my portfolio and for promotional purposes (website,

social media, award submissions) unless the Client requests otherwise in writing prior to commencement.

Confidential or embargoed projects will be treated accordingly.

13. Confidentiality

13.1 I treat all Client materials, briefs, and project details as confidential. Source files and project

information will not be shared with any third party without the Client's written consent.

13.2 If the Client requires a formal NDA, this should be requested and agreed before work commences.

13.3 For projects involving unreleased or embargoed content, all materials will be treated as strictly confidential by

default. Work will not be referenced or displayed publicly until the Client confirms the embargo has lifted.

14. Limitation of Liability

14.1 My total liability to the Client in respect of any project shall not exceed the total fees paid for that

project.

14.2 I am not liable for any indirect, consequential, or incidental loss arising from the use of the

deliverables, including but not limited to loss of revenue, missed deadlines caused by the Client's own

delays, or losses arising from technical issues beyond my control.

14.3 I am not responsible for colour accuracy variations between different screens, monitors, or print

outputs unless colour-managed proofing has been agreed as part of the scope.

14.4 I will not be liable for failure to complete any contract due to circumstances beyond my reasonable

control, including but not limited to illness, loss of power, equipment failure, fire, flood, or other force

majeure events. I will notify the Client as soon as possible in such circumstances.

15. Governing Law

15.1 These Terms & Conditions are governed by the laws of England and Wales. Any disputes arising

from a project will be subject to the exclusive jurisdiction of the courts of England and Wales.
